This is because the offer is carried out in violation of articles 94 et seq. of Italian Legislative Decree n. 58/1998, regarding the obligation, for those who intend to make an offer to the public, of sending a prospectus intended for publication to CONSOB beforehand. According to art. 101, paragraph 2, of the same decree, the dissemination of any advertisements concerning public offers of financial products other than community financial instruments prior to publication of the prospectus is prohibited. Consequently any advertisement relating to the prohibited offer should be considered to be prohibited (resolution n. 20094 of August 29, 2017).
